ARTICLE 1 - CORPORATE NAME
     
  The Club shall be known as the Cardinal Racquet Club, Incorporated under the Laws of the State of South Carolina for the purpose of providing recreational and wholesome activities for its members.
     
     
ARTICLE II - BOARD OF DIRECTORS
     
  Section 1 - The management of the Club shall be vested in the Board of Directors consisting of fifty (50) members to be composed of one member of each family owning a life membership. A life membership automatically includes membership on the Board of Directors for one member of said family.

Section 2 - The Board of Directors shall have the power to make and amend regulations and rules pertaining to the operation of the club, and shall have the responsibility for the entire management of the affairs of the club, except as otherwise provided herein. Without limiting the generality of the foregoing, the Board of Directors shall have authority to fix fees, dues and charges for all members and to revise the same from time to time.
     
     
ARTICLE III - MEETINGS
     
  Section 1 - The annual meeting of the Club shall be held in September of each year at a time and place to be selected by the Board of Directors, 15 days notice to be given.

Section 2 - Special meetings of the members may be called by the Executive Committee upon its own motion. Notice of the time and place of any special meeting of the members shall be given to each member at least five days prior to such meeting. The notice of every special meeting shall state the object of the meeting and no other business shall come before such meeting.

Section 3 - At any meeting of the Club, forty (40) per cent of the life members entitled to vote present in person or by proxy shall constitute a quorum. At any meeting of the members each member entitled to vote shall be entitled to one vote on all matters, whereas those persons who are individual or family members may only vote on matters regarding the activities of the club.

Section 4 - A member may be represented at any meeting of the Club by proxy, which proxy must be in writing and must be Filed with the Secretary of the meeting. The person so representing the member by proxy must also be a member in good standing of the club.

Section 5 - Special meetings of the Directors may be called at any time by the President or five Directors at least five days prior to the special meeting. The notice of any special meeting shall state the purpose of which the meeting is being called .

Section 6 - Forty (40) per cent of the Directors shall constitute a quorum at any meeting of the Board of Directors. All matters coming before the Board of Directors shall be decided by majority vote of all of the members of the Board present and voting at any meeting at which a quorum is present unless a higher 6 percentage is required by some other provision of these By-laws. In case of a tie vote, a motion shall be deemed lost.
     
     
ARTICLE IV - OFFICERS
     
  Section I - The officers of the Club shall be selected annually by all the members at the annual meeting as provided hereinafter. Each officer shall be elected from and shall be a member of the Board of Directors. The Board of Directors may remove any officer from office or declare any office vacant and elect a successor to fill the unexpired term.

Section 2 -The officers of the Club shall be the President, a 1st Vice President, a 2nd Vice President, a Secretary and a Treasurer.

Section 3 - The President shall appoint a nominating committee chosen from the membership at large. Such nominating committee shall select five members owning a life membership certificate to serve in the offices above designated year and said term shall be for one year and shall expire on the 30th day of September of the succeeding year, and all of the above The. The nominating committee shall make its report at the annual meeting. The President will then accept nominations from the floor for any and all of the above mentioned offices. Then a vote will be taken to elect said officers and the vote shall be in the manner so designated by the President The officers elected shall take office of the First day of October of each year and said terms shall be for on year and shall expire on the on 30th day of September of the succeeding year.

Section 4-A -The President shall preside at all meetings of the members and Directors, shall enforce all rules and regulations of the club, and shall control and manage the business affairs, properties and facilities of the Club under the general supervision of the Executive Committee. He with the Secretary or Treasurer shall execute on behalf of the Club all contracts, deeds, mortgages, deeds of trust, notes, bonds and other instruments when authorized by resolution of the Board of Directors. At each annual members meeting he shall report to the members the affairs, activities and condition of the Club for the preceding year. He shall perform such other duties as the Board of Directors may direct.

Section 4-B -The 1st Vice President shall perform the duties of the President in the absence or disability of the President and such other duties as the Board of Directors may direct.

Section 4-C -The 2nd Vice President shall perform the duties of the President or the 1st Vice President in the absence or disability of both and shall also perform such other duties as the Board of Directors may direct.

Section 5 - The Secretary shall record and keep the minutes of all members and directors meetings, shall give notice of meetings as provided by the By-laws, shall have custody of all books, records and papers of the Club except such as shall be in charge of the Treasurer, shall keep accurate and complete membership lists, execute with the President on behalf of the corporation such written documents and instruments as may be authorized by the Board of Directors and perform such other duties as may be assigned by the Board of Directors.

Section 6 - The Treasurer shall receive and disburse all funds of the Club, shall keep accurate and detailed records of receipts and disbursements and an accurate account with each member. He shall deposit all funds coming into his hands in a depository designated by the Board of Directors. The Treasurer shall make a report at the annual meeting and shall make such additional reports as may be requested by the Directors The books of the Treasurer shall be open at all reasonable times for examination by the members of the Club The Treasurer shall be bonded in the amount of $15, 000 with a surety approved by the Directors; the premium for said bond to be paid for by the Club
     
     
ARTICLE V - COMMITTEES
     
  Section 1 -The President, the 1st Vice President, the 2nd Vice President, the secretary, and the Treasurer shall constitute the Executive Committee, which committee shall be vested with the powers the of the Board of Directors, to be exercised When the Board is not in session or in the absence of a quorum thereof

Section 2 -The President shall, with the advice and consent' of the Executive Committee, appoint such committees as it deems necessary and proper to carry out the business and functions of the Club. Each of the committees so appointed is authorized to formulate such rules and regulations as are deemed advisable, necessary or helpful in promoting the activities under its supervision, provided such rules and regulations shall become effective only when submitted to and approved by the Board of Directors, certified by the Secretary, and posted upon the Club bulletin board. Each committee so appointed shall be constituted, and shall have the duties and responsibilities as shall be determined by the Executive Committee. The President and in his absence 1st or 2nd Vice President, shall be an ex-officio member of all committees.
     
     
ARTICLE VI - MEMBERSHIP
     
  Section 1 - There shall be two classes of membership in the Cardinal Racquet Club

A The first class of membership shall be that of Life or permanent membership consisting of those members who paid the original fee of $2000 for said! membership, and there will be an initiation fee of $25 for each participating child of a Iife member. The life or permanent membership shall entitle said member to the following:

(1) A certificate stating that he is a Iife or permanent member in said Club.

(2) No dues will be payable by said Iife or permanent member.

(3) The Iife membership shall be for a member of the family as designated on the proper form to said Club and the membership shall entitle the hold of said membership certificate a membership in the Club in perpetuity.

(4) The membership certificate may be transferred either by will or by gift to an immediate family member of the family of the owner of said certificate. In any other situation the transfer of said ownership certificate will be permitted only in the following manner.

(a) The membership certificate must first be offered to the Cardinal Racquet Club for sale at the current market value and in the event said corporation does not choose to purchase said certificate within thirty (30) days; then.

(b) The membership certificate must be offered to the remaining life or permanent members of said Club and in the event that they do not choose to purchase said membership certificate after thirty (30) days notice; then.

(c) The certificate shall be offered to the general public for market value with the understanding that the Cardinal Racquet Club must approve any sale or transfer of said membership certificate, with the exception as stated in Section 1, paragraph A-4 hereinabove.

(5) The life or permanent membership entitles a member to vote on any matters coming before the Club, said membership entitling a member of the family so designated to one (1) vote only.

(6) All life or permanent members shall be automatically directors of said corporation.

B. The second form of membership in the Cardinal Racquet Club shall be that of a family, an individual or a junior membership. A family membership initiation fee will be Six Hundred Dollars ($600), a single membership initiation fee with be Four Hundred Dollars ($400}, and a junior initiation fee with be Seventy-five Dollars ($75). These memberships will pay quarterly dues in the following manner: the family membership - Two Hundred Fifteen Dollars ($215) plus Fifteen Dollars ($15) for each child of the family playing; the single membership One Hundred Sixty Dollars ($160); and the junior membership Forty-five Dollars ($45). The family or individual memberships includes the following rights:

(1) The right to the use of all facilities of the Club in the same manner as those owing a life or permanent membership certificate.

(2) The right to participate in and on all committees except the Executive Committee and the right to participate in all programs.

(3) The right to vote on the election of officers, subject to the above provisions as stated in said By-laws, and the right to vote on all matters regulating the activities of said Club as stated above.

(4) A family or individual membership will include the right to convert said family or individual membership into a life membership within a two (2) year period from the initial date of the family or individual membership, provided that a life membership is available; said original family or individual membership fee to be credited toward the current market value of the life membership fee.

C. Each individual member of said Club, whether he be a member by life membership, family membership, or single membership, shall be issued a card or similar evidence stating that he is a member in good standing and is authorized " to play on said courts according to the rules of the Club. Each individual member, whether life, family or single, will share equally in playing privileges.

D. In the event that a member who has joined said Club in an individual or family membership shall move from the City of Anderson within one year after joining said Club, his membership shall be refunded, less the quarterly dues for the quarter in which said fee is refunded and any other dues, assessments or
professional fees that may be due. If the Board of Directors shall find that there is not sufficient funds in the corporate treasury, the resigning member must wait until there is an applicant approved by the Board of Directors to which said membership can be assigned and the fee will then be forwarded to the resigning member upon collection from the new member.

     
     
ARTICLE VII - FEES AND DUES
     
  Section 1 - The charter fee for life membership or permanent membership in the Club shall be the sum of Two Thousand Dollars ($2000) to be paid in such a manner as the Board of Directors shall direct. A charter life member shall be those members who join the Club prior to April 1, 19 73.

Section 2 The charter fee for a family membership or individual membership in this club shall be the sum of $400 for an individual membership or $600 for a family membership, to be paid in such manner as the Board of Directors shall direct. A charter membership shall be those members who join the Club prior to April 1, 1973. The life or permanent membership shall be closed at fifty (50) members.

Section 3 Refunds for membership shall be made as provided in Article V1 , Section 1, Paragraph D of the within By-laws.

Section 4 A. Each individual membership of the Club shall pay to the Treasurer quarterly dues in the sum of $160 on or by January 10, April 1 0, July 10, and October 10 of each year. Each family member of the Club shall pay to the Treasurer quarterly dues in the sum of $215 per quarter per quarter on the above mentioned dates as stated, plus $15 for each child of the family playing on his membership, plus $10 membership fee upon the child first joining. If any member has not paid his quarterly dues by the date above mentioned, the Board of Directors may expel him from the Club and in such event the member being so expelled shall be denied any and all further rights in said Club. B. All members of the Club shall pay directly to the Treasurer within 10 days receipt thereof the amount shown on the itemized statement showing any dues, assessments or fees to the tennis professional in charge of said Club or any assistants thereto or for any merchandise purchased at said pro shop. C. If any member has not paid the dues, assessments or statement of any amount due the Club within 30 days of the date of said statement, then the Executive Committee will notify said member that he has 30 days in which to pay said amount due to the Club. If any member does not pay the amount within the 30 day grace period, the Board of Directors may expel him from the Club, and in such event, the member being so expelled shall be denied any and all further rights in said Club, except that in the event that a life member fails to pay any\. amounts due the Club, his rights to play and use the Club facilities will expire but his share of membership will still be owned by him and may be offered for said subject to the terms as stated in Article VI, Section 1, Para (1 ), (2) & (3).
     
     
ARTICLE VIII - EXPULSION
     
  Section 1(A) - In the event of an infraction of any By-law or rule of the Club, or any 10 conduct on the part of the member or dependent, of the member, which may tend to endanger the good order, welfare, or character of the Club, such member may be expelled by a two-thirds vote of a quorum of the Board of Directors, provided that ten (10) days notice in writing shall have been given to the offending member, and each member of the Board, of the meeting at which such expulsion shall be considered, any member of the Club so charged with misconduct shall have an opportunity of defending himself, either in person or by a representative, at the meeting of the Board, when the charges against him shall be considered Section 1(B) In the event that a life member is expelled from the Club, his rights to play and to use the Club facilities will expire but his share of membership will still be owned by him and may be offered for sale subject to the terms as stated in Article VI, Section 1, Para (1 ),(2) & (3).

Section 2 - Any member of the Board of Directors maybe expelled from office by a vote of two-thirds of the members of the Club present or represented by proxy at a special meeting called for that purpose.
     
     
ARTICLE IX - AMENDMENTS
     
  These By-laws and any portion thereof may be amended, altered, or repealed by the affirmative vote of two-thirds of the Directors constituting the Board of Directs at any meeting of the Board.
     
     
ARTICLE X - FISCAL YEAR
     
  Unless otherwise fixed by the Board of Directors, the fiscal year of the club shall begin the first day of October and end the last day of September in each year.
